Legal terms and conditions for using the Xenyyo platform

1. Agreement to Terms

By accessing and using Xenyyo ("the Platform"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our platform.

2. Platform Description

Xenyyo is a marketplace platform that enables creators to publish and monetize web-based tools built with AI assistance. We provide AI-powered listing generation, automated sales processing, resource delivery services (AI customization prompts, documentation, licenses), and web hosting for buyers.

3. User Accounts

3.1 Account Creation

  • You must provide accurate information when creating your account
  • You are responsible for maintaining the security of your account
  • You must be at least 18 years old to use our platform

3.2 Creator Responsibilities

  • Ensure all submitted code is original or properly licensed
  • Provide accurate descriptions of your tools
  • Comply with all applicable laws and regulations
  • Maintain the quality and functionality of published tools

4. Platform Usage

4.1 Acceptable Use

You may use Xenyyo to:

  • Publish original web-based tools built with AI assistance
  • Purchase and download tools from other creators
  • Sell tools and earn revenue through our marketplace

4.2 Prohibited Activities

You may not:

  • Upload malicious code or security vulnerabilities
  • Infringe on intellectual property rights
  • Engage in fraudulent or deceptive practices
  • Spam or harass other users
  • Violate any applicable laws or regulations
  • Upload tools containing sexually explicit or pornographic content
  • Upload tools that promote hate speech, discrimination, or target protected groups
  • Upload tools depicting graphic violence, gore, or glorifying real-world violence
  • Upload tools designed to facilitate illegal activity (hacking tools, fraud schemes, drug manufacturing)
  • Upload gambling, betting, or wagering tools
  • Upload tools that promote self-harm, suicide, or eating disorders
  • Upload tools with deceptive UI patterns (fake login pages, phishing interfaces, credential harvesting)
  • Upload tools designed for covert data collection or unauthorized surveillance

4.3 Automated Content Review

All uploaded tools are subject to automated AI-powered content analysis, including quality assessment and content safety screening. Tools that do not meet our quality or content safety standards will be rejected during the publishing process. Xenyyo reserves the right to update its content review criteria at any time.

5. Content and Intellectual Property

5.1 Intellectual Property Rights and Warranties

By uploading content to Xenyyo, you represent and warrant that:

Ownership or Authorization:

You are either:

  • The original creator and copyright holder of the tool, OR
  • Have obtained explicit written permission from the copyright holder to distribute the tool commercially

No Infringement:

Your tool does not infringe upon any:

  • Copyright, trademark, patent, or trade secret
  • Intellectual property rights of any third party
  • Licensing terms of open-source software (unless properly attributed and compatible with commercial distribution)

Legal Right to License:

You have the full legal right and authority to grant the licenses offered through Xenyyo (Essential Bundle and Pro Bundle)

AI-Generated Content:

If your tool was created with AI assistance (Claude, ChatGPT, GitHub Copilot, etc.), you confirm that:

  • You own the prompts and creative direction used to generate the tool
  • The output does not infringe third-party rights
  • You comply with the AI provider's terms of use regarding commercial distribution

Indemnification:

You agree to indemnify, defend, and hold harmless Xenyyo, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from:

  • Your breach of these warranties
  • Copyright or intellectual property infringement claims related to your content
  • Your uploaded content or its use by buyers
  • Any misrepresentation regarding ownership or rights to your content

5.2 Xenyyo as Marketplace Platform

No Verification:

Xenyyo is a marketplace platform that connects creators with buyers. We do NOT:

  • Verify the originality or ownership of uploaded content
  • Conduct copyright searches or intellectual property due diligence
  • Guarantee that tools are free from infringement claims
  • Review code for compliance with third-party licenses

Safe Harbor Protection:

Xenyyo operates under DMCA Safe Harbor provisions (17 U.S.C. § 512). We:

  • Respond promptly to valid copyright infringement notices
  • Remove infringing content when properly notified through DMCA procedures
  • Are not liable for user-uploaded content prior to receiving proper notice
  • Maintain a designated DMCA agent for copyright notifications

Right to Remove:

Xenyyo reserves the right to remove any content at any time, with or without notice, if we:

  • Receive a valid DMCA takedown request
  • Suspect potential copyright or intellectual property infringement
  • Determine content violates our policies or these Terms
  • Receive credible reports of infringement from rights holders

5.3 Your Content Rights

Ownership Retention:

You retain ownership of your original creations

License to Xenyyo:

You grant Xenyyo a non-exclusive, worldwide, royalty-free license to:

  • Display and distribute your content on the platform
  • Generate promotional materials and marketplace listings
  • Process and analyze your content for platform improvement
  • Create thumbnails, previews, and derivative works necessary for platform operation

5.4 Platform Content

Xenyyo Ownership:

Xenyyo retains ownership of:

  • Platform features, design, and functionality
  • AI-generated listing content (descriptions, tags, pricing suggestions)
  • Platform branding and trademarks
  • Marketplace infrastructure and tools

Restrictions:

Users may not:

  • Copy, reproduce, or redistribute platform functionality
  • Reverse engineer platform features
  • Use platform branding without explicit written permission

5.5 Buyer License Terms

When you purchase a tool on Xenyyo, you receive a license based on your selected bundle:

Essential Bundle License:

  • Personal and educational use only
  • You may use and modify the tool for personal projects
  • You may NOT use the tool in commercial projects or products
  • You may NOT redistribute, resell, or sublicense the tool or source code
  • You may NOT share your web access URL with others

Pro Bundle License:

  • Personal AND commercial use permitted
  • You may use the tool in client projects and commercial products
  • You may modify and adapt the tool for your commercial needs
  • You may NOT redistribute, resell, or sublicense the tool or source code
  • You may NOT share your web access URL with others
  • Commercial license is non-transferable

General Restrictions (All Bundles):

  • Web access URLs are for your personal use only; sharing is prohibited
  • One license = one user; team/enterprise licenses available upon request
  • Reverse engineering for competitive purposes is prohibited
  • You may not claim original authorship of purchased tools

6. Payment Terms

6.1 Commission Structure

  • Platform commission: 20% of gross sales
  • Payment processing fees: ~2.9% + $0.30 per transaction
  • Creator net earnings: approximately 77% of sale price

6.2 Payouts

  • All payments are processed through Stripe, our payment processor
  • Earnings from each sale are automatically transferred to creators' connected Stripe accounts via Stripe Connect destination charges
  • Payouts from Stripe to your bank account are processed by Stripe, typically within 2 business days
  • Creators must complete Stripe Connect onboarding to receive payouts
  • Creators are responsible for their own tax obligations

6.3 Refunds

  • Buyers may request refunds within 7 days of purchase if the tool doesn't work as described, is missing advertised features, or contains broken functionality
  • Refunds are processed to the original payment method within 7 business days
  • Creators are responsible for refund costs, which are deducted from their earnings
  • High refund rates may trigger platform review of tool quality
  • Platform reserves the right to issue refunds for defective or misrepresented tools beyond the 7-day window in exceptional cases

7. Platform Availability

7.1 Service Availability

  • We strive for 99.9% uptime but cannot guarantee uninterrupted service
  • Scheduled maintenance will be announced in advance
  • Emergency maintenance may occur without notice

7.2 Feature Changes

  • Platform features may be updated, modified, or discontinued
  • Significant changes will be communicated to users

8. Privacy and Data Protection

Your privacy is important to us. Please review our Privacy Policy for information about how we collect, use, and protect your data.

9. Limitation of Liability

9.1 Platform Liability

  • Xenyyo provides the platform "as is" without warranties
  • We are not liable for user-generated content or interactions
  • Our liability is limited to the amount paid by users in the preceding 12 months

9.2 User Liability

  • Users are responsible for their own content and actions
  • Users indemnify Xenyyo against claims arising from their platform use

10. Copyright Infringement Policy

10.1 DMCA Compliance

Xenyyo complies with the Digital Millennium Copyright Act (DMCA). If you believe content on our platform infringes your copyright, please submit a DMCA notice containing:

  • Your physical or electronic signature
  • Identification of the copyrighted work claimed to be infringed
  • Identification of the infringing material and its location on our platform
  • Your contact information (address, phone number, email)
  • A statement that you have a good faith belief that the use is not authorized
  • A statement under penalty of perjury that the information is accurate and you are authorized to act

10.2 Three-Strike Enforcement System

First Offense:

  • Infringing tool removed immediately
  • Formal written warning sent to creator
  • Account remains active with monitoring
  • Creator required to acknowledge violation

Second Offense:

  • All tools temporarily removed from marketplace
  • Account suspended for 30 days
  • All pending revenue frozen during suspension period
  • Creator must provide proof of ownership/rights for remaining tools
  • Mandatory review before account reactivation

Third Offense:

  • Permanent account termination
  • All pending revenue withheld
  • Creator permanently banned from creating new accounts
  • Information shared with relevant authorities if warranted

Immediate Termination:

Xenyyo reserves the right to immediately terminate accounts without warning for:

  • Egregious or willful copyright infringement
  • Repeated fraudulent claims of ownership
  • Uploading malicious, illegal, or harmful content
  • Attempting to circumvent infringement detection
  • Multiple simultaneous infringement violations

10.3 Revenue Consequences

Pending Payouts:

If your account is terminated for infringement:

  • All pending payouts are immediately withheld
  • Withheld funds may be used to compensate affected rights holders
  • Any remaining funds may be forfeited to cover platform costs and legal fees
  • You waive all claims to withheld revenue resulting from infringement

Completed Sales:

For tools removed due to infringement:

  • Past buyers may receive refunds at platform discretion
  • Creator is liable for refund costs
  • Negative balance may be pursued through collections

10.4 Counter-Notification

If you believe content was removed in error, you may file a counter-notification containing:

  • Your physical or electronic signature
  • Identification of the removed content and its prior location
  • A statement under penalty of perjury that the content was removed by mistake or misidentification
  • Your contact information and consent to jurisdiction
  • Statement accepting service of process from the complainant

Upon receiving a valid counter-notification, we may restore the content within 10-14 business days unless the original complainant files a court action.

10.5 Buyer Protection from Copyright Claims

If You Purchase a Tool Later Found to Infringe:

Step 1 - Contact Creator First:

  • Attempt to resolve directly with the tool creator
  • Request proof of ownership or licensing rights
  • Allow 5 business days for response

Step 2 - Report to Xenyyo:

  • Submit a detailed report through our support system
  • Provide evidence of the infringement claim
  • Include any correspondence with the creator

Step 3 - DMCA Process (if applicable):

  • File a formal DMCA complaint if you are the rights holder
  • Or provide evidence if infringement affects a third party

Refund Eligibility:

If a tool is removed due to verified copyright infringement:

  • Full refund provided within 7 business days
  • Access immediately revoked to removed tool and source code
  • Creator bears full responsibility and cost, not Xenyyo
  • You retain no rights to use the infringing tool

Not Covered:

Refunds are not provided for:

  • Tools you've already successfully deployed and used
  • Claims made more than 90 days after purchase
  • Unsubstantiated infringement allegations
  • Disputes about tool quality or functionality (separate refund policy applies)

11. Termination

11.1 Account Termination

  • Either party may terminate the agreement at any time
  • Xenyyo may suspend or terminate accounts for terms violations
  • Upon termination, outstanding earnings will be paid according to normal schedule (subject to Section 10.3 for infringement cases)

11.2 Content Removal

  • Xenyyo may remove content that violates these terms
  • Users may delete their own content at any time
  • Content removed for infringement follows procedures outlined in Section 10

12. Dispute Resolution

12.1 Governing Law

These terms are governed by the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Xenyyo is a Delaware corporation.

12.2 Dispute Process

  • Disputes should first be addressed through our support system
  • Copyright disputes follow DMCA procedures outlined in Section 10
  • Unresolved disputes may be subject to binding arbitration

13. Changes to Terms

13.1 Updates

  • These terms may be updated from time to time
  • Significant changes will be communicated to users
  • Continued use constitutes acceptance of updated terms

13.2 Notification

  • Users will be notified of material changes via email or platform notification
  • Updated terms become effective 30 days after notification
