Terms of Service

These Terms replace all prior versions, including those published for the previous version of Xenyyo.

These Terms of Service ("Terms") are a legal agreement between you and Xenyyo Inc., a Delaware corporation ("Xenyyo," "we," "us," or "our").

These Terms govern your use of xenyyo.com and any other website, application, or service that Xenyyo Inc. operates and that links to these Terms (each, a "Service," and together, the "Services").

By using the Services, you agree to these Terms. If you do not agree, please do not use the Services.

1. What Xenyyo is

Xenyyo lets people describe a small software tool in plain language and have it built and published automatically. Published tools run live in your browser. Anyone can use them, and anyone with an account can remix them into a new tool of their own.

You can browse and use published tools without creating an account. An account is required only to create, publish, remix, save, or follow.

2. Who can use the Services

Using tools without an account. Anyone may browse the gallery and use published tools. We do not require an account and do not collect personal information from people who simply use published tools.

Creating an account. You must be at least 13 years old to create an account. If you are between 13 and 18, you may only create an account with the permission of a parent or legal guardian, and that parent or guardian agrees to be bound by these Terms on your behalf.

We do not knowingly allow anyone under 13 to create an account. If we learn that an account belongs to a child under 13, we will delete it and any associated personal information. If you believe a child under 13 has created an account, contact us at the address in Section 17.

Accounts are for individuals. You are responsible for everything that happens under your account and for keeping your credentials secure. Notify us promptly if you believe your account has been compromised.

3. Your content and who owns it

You own what you create. When you describe a tool and Xenyyo builds it, you own the resulting tool and any text, images, or other material you contribute ("Your Content"). We claim no ownership of it.

The license you give us. To operate the Services, we need permission to do certain things with Your Content. By publishing a tool or posting content, you grant Xenyyo Inc. a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to host, store, reproduce, modify (for technical purposes such as formatting and generating preview images), publicly display, publicly perform, and distribute Your Content, and to allow other users of the Services to view, use, and remix it as described in Section 4.

This license exists so that we can run the Services and so that the remix feature works. It ends when you delete Your Content, except that:

  • Copies already made by other users through remixing remain theirs, and
  • Backup copies may persist for a reasonable period before being overwritten, and
  • We may retain records where the law requires it.

Your responsibilities. You represent that you have the rights to everything you contribute, and that Your Content does not infringe anyone else's rights or violate any law or these Terms.

4. Remixing

Any published tool on the Services may be remixed by any account holder. A remix creates a new, independent tool owned by the person who made it, displayed with attribution to the original tool and creator.

When you publish a tool, you are agreeing to let others remix it. This is a core feature of the Services and is not optional for published tools. If you do not want a tool remixed, do not publish it.

Attribution is generated automatically. Do not remove, obscure, or falsify attribution.

5. Tools are generated by AI — important limitations

Tools on the Services are generated by artificial intelligence based on user descriptions. This has consequences you need to understand.

Tools may be wrong. A calculator may calculate incorrectly. A converter may convert incorrectly. A tool that gives advice may give bad advice. Tools are not reviewed for accuracy by Xenyyo before or after publication.

Do not rely on tools for anything that matters. Tools on the Services are provided for general informational and entertainment purposes only. They are not professional advice of any kind — not medical, legal, financial, tax, safety, engineering, or otherwise. Do not use a tool as the basis for any decision where an error could cause harm, loss, or injury. Always verify results independently and consult a qualified professional where appropriate.

Tools are not created or endorsed by Xenyyo. Tools are created by users. Xenyyo provides the means to build and publish them. We do not endorse, verify, or take responsibility for any tool's output.

Similar descriptions may produce similar tools. AI generation is not unique per user. Someone else may describe a similar tool and receive a similar result. Neither of you has a claim against the other or against us on that basis.

6. What you may not do

You agree not to use the Services to create, publish, or distribute anything that:

  • Is unlawful, or facilitates unlawful activity
  • Infringes anyone's copyright, trademark, patent, trade secret, privacy, or publicity rights
  • Sexualizes minors in any way, or is otherwise harmful to children
  • Is sexually explicit, gratuitously violent, or gratuitously graphic
  • Harasses, threatens, defames, or targets any person or group, or promotes hatred or violence based on race, ethnicity, national origin, religion, disability, sex, gender identity, sexual orientation, or age
  • Encourages or facilitates self-harm, suicide, disordered eating, or substance abuse
  • Contains malware, or is designed to gain unauthorized access to any system or data
  • Impersonates any person or organization, or misrepresents your affiliation
  • Collects personal information from users of your tool without their knowledge and consent
  • Provides instructions for creating weapons or dangerous substances
  • Is designed to deceive or defraud

You also agree not to:

  • Scrape, spider, or systematically extract data from the Services except as permitted by our robots.txt
  • Circumvent usage limits, rate limits, authentication, or any technical restriction
  • Interfere with the operation of the Services, or place unreasonable load on our infrastructure
  • Use the Services to build a competing product by copying our content or systems
  • Resell access to the Services without our written permission

We may remove content and terminate accounts. We may remove any content and suspend or terminate any account, at our discretion, if we believe these Terms have been violated. Where practical and lawful we will tell you why, but we are not obligated to provide advance notice.

7. Paid plans

Xenyyo Plus is a paid subscription that increases your monthly usage allowance. Credit top-ups may also be available for purchase. Current pricing and limits are shown on the Services.

Billing. Subscriptions bill monthly in advance through Stripe, our payment processor. Your subscription renews automatically each month until you cancel. We do not store your full card details; Stripe does.

Cancellation. You may cancel at any time. Your paid access continues through the end of the billing period you have already paid for, and does not renew after that.

Refunds. Payments are non-refundable, including partial months and unused credits. This does not affect any right to a refund you may have under applicable consumer protection law, and we may issue refunds at our discretion in cases of billing error or service failure.

Price changes. We may change pricing. Changes to an existing subscription take effect at the next billing period, and we will give you at least 30 days' notice by email before they do.

Free usage. Free accounts have monthly limits that we may adjust. We do not guarantee any particular free allowance will continue.

8. Availability

The Services are provided as they are, when they are available. We may change, suspend, or discontinue any part of the Services — including individual tools, features, or entire products — at any time.

If we shut down a Service permanently, we will make reasonable efforts to give you at least 30 days' notice by email and a way to export tools you created, unless we are prevented from doing so by law, safety, or circumstances beyond our control.

We do not guarantee uptime, and we are not liable for downtime, data loss, or interruption.

9. Copyright complaints (DMCA)

If you believe content on the Services infringes your copyright, send a notice to dmca@xenyyo.com containing:

  1. Your physical or electronic signature
  2. Identification of the copyrighted work you claim was infringed
  3. Identification of the material you claim is infringing, with enough detail for us to locate it (a URL is best)
  4. Your name, address, telephone number, and email address
  5. A statement that you have a good faith belief the use is not authorized by the copyright owner, its agent, or the law
  6. A statement, under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or authorized to act on the owner's behalf

We will respond to valid notices, and we will terminate the accounts of repeat infringers.

Counter-notice. If your content was removed and you believe the removal was a mistake or misidentification, you may send us a counter-notice with the elements required by 17 U.S.C. § 512(g)(3).

10. Our intellectual property

The Services themselves — our name, logo, design, code, and the systems that generate and serve tools — belong to Xenyyo Inc. and are protected by intellectual property law. These Terms do not give you any right to use our brand or our software outside of using the Services as intended.

11. Feedback

If you send us ideas or suggestions about the Services, we may use them freely without any obligation to you. Do not send us anything you consider confidential.

12. Disclaimer of warranties

THE SERVICES AND ALL TOOLS ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED.

To the fullest extent permitted by law, we disclaim all warranties, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Services will be uninterrupted, secure, or error-free, that any tool will function correctly or produce accurate results, or that any defect will be corrected.

Some jurisdictions do not allow the exclusion of certain warranties, so some of the above may not apply to you.

13. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, XENYYO INC. AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATING TO THE SERVICES — WHETHER BASED IN CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR ANY OTHER THEORY, AND WHETHER OR NOT WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

Some jurisdictions do not allow the limitation or exclusion of liability for certain damages, so some of the above may not apply to you. Nothing in these Terms limits liability for fraud, gross negligence, willful misconduct, death or personal injury caused by negligence, or anything else that cannot be limited by law.

14. Indemnification

You agree to indemnify and hold harmless Xenyyo Inc. and its officers, directors, employees, and agents from any claim, demand, loss, liability, or expense (including reasonable attorneys' fees) arising out of your content, your use of the Services, or your violation of these Terms or of any law or third-party right.

15. Governing law and disputes

These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws rules.

Any dispute arising out of or relating to these Terms or the Services will be brought exclusively in the state or federal courts located in Alameda County, California, and you and we consent to the personal jurisdiction of those courts.

If you are a consumer residing outside California, this section does not deprive you of the protection of mandatory consumer law in your place of residence.

Small claims. Either of us may bring an individual claim in small claims court if it qualifies.

16. Changes to these Terms

We may update these Terms. If we make a material change, we will post the updated Terms with a new effective date and, if you have an account, notify you by email or in the product at least 14 days before the change takes effect.

Continuing to use the Services after a change takes effect means you accept the updated Terms. If you do not accept them, stop using the Services and, if you wish, delete your account.

18. Miscellaneous

Entire agreement. These Terms and the Privacy Policy are the entire agreement between you and Xenyyo Inc. regarding the Services.

Severability. If any provision is found unenforceable, the rest remains in effect.

No waiver. If we do not enforce a provision, that is not a waiver of our right to enforce it later.

Assignment. You may not assign these Terms. We may assign them in connection with a merger, acquisition, or sale of assets.

Termination. You may stop using the Services and delete your account at any time. Sections 3 (as to licenses already granted), 5, 10, 12, 13, 14, and 15 survive termination.
